Vendor Terms

Who These Terms Apply To
These “Vendor Terms” apply to anyone who:
- Claims a tool listing on Intelloro to manage or update its profile
- Submits a new tool to Intelloro for listing
- Purchases a sponsored placement, vendor subscription, badge, or featured listing
- Accesses the Vendor Dashboard or any vendor-only feature
These Vendor Terms supplement our general Terms of Service. In case of conflict, these Vendor Terms control for vendor-specific matters; the Terms of Service control for everything else.
Verified Trader Identity (EU DSA Article 30)
EU Digital Services Act Article 30 requires online platforms that allow consumers to conclude distance contracts with traders to obtain and verify the following information before allowing the trader to use the platform:
- Name, address, telephone number, and email address of the trader
- A copy of the trader's identification document, registration in a trade register, or equivalent
- The trader's payment account details (where applicable)
- Where the trader is registered in a trade register, the registration number and self-certification that the products/services comply with applicable Union law
What this means for you as a vendor: when you claim a listing or purchase a paid placement, we will collect and verify the above information. We rely on:
- Email verification — we send a verification link to an email address on the verified company domain (no free providers like Gmail/Yahoo for company verification)
- Domain ownership verification — via DNS TXT record or HTML meta-tag
- Public registry cross-check — we cross-reference your claimed legal name against public business registers (e.g., Companies House UK, EU VIES, US Secretary of State)
We make best efforts to verify trader information and will suspend listings where verification fails or where we obtain credible evidence that information provided is inaccurate or misleading. Vendors who fail verification cannot purchase paid placements until verification is completed.
Listing Accuracy & Maintenance
As a vendor, you are responsible for ensuring that all information you provide about your tool is:
- Accurate — descriptions, features, pricing, and compliance claims must reflect what your product actually does
- Up to date — you will update your listing within 30 days of any material change (pricing, features, compliance certifications, name change, ownership change)
- Compliant with consumer-protection law — in particular, no misleading commercial practices under the EU UCPD, FTC Act § 5, or equivalent law
- Compliant with the EU AI Act — if your product is an AI system, you accurately describe its risk classification (limited / minimal / high-risk / GPAI) and any relevant transparency obligations
We may remove or correct listing information that we determine, after good-faith review, to be inaccurate or misleading. Repeated inaccuracies may result in suspension of vendor privileges.
Compliance & Certification Claims
When you claim that your tool holds a specific certification or complies with a specific regulation (e.g., SOC 2 Type II, ISO 27001, GDPR, HIPAA, FedRAMP, CCPA), you represent and warrant that:
- The certification is current and unrevoked
- You can produce evidence (audit report, certificate, BAA template, DPA template) on request
- The claim is not misleading (e.g., “SOC 2 in progress” is not equivalent to “SOC 2 certified”)
- Marketing language like “HIPAA-ready” or “GDPR-friendly” will not be used to imply formal certification you do not hold
We may request supporting evidence at any time. Failure to produce evidence within 14 days will result in the certification claim being removed from your listing.
Sponsored Content & Paid Placements
All paid placements (sponsored cards, featured listings, badges, newsletter ads) are clearly labelled “Sponsored”, in compliance with FTC Endorsement Guides (USA) and equivalent EU/UK rules. As a sponsor:
- You acknowledge that paid placement does NOT influence your tool's organic Trust Score, Task Score, or Dimension Score — algorithmic ranking is independent of advertising spend
- You may not request changes to editorial content (descriptions, scores, comparisons) as a condition of sponsorship
- Sponsored placements may be paused or removed if your underlying listing violates these Vendor Terms
Reviews About Your Tool
Intelloro hosts its own user reviews and displays package-adoption signals (npm, PyPI download counts). It does not reproduce third-party review-platform ratings. As a vendor:
- You may not solicit fake reviews, paid reviews without disclosure, or astroturfed reviews from your own staff — these violate FTC, CMA, and EU UCPD rules
- You may respond publicly to user reviews via the vendor reply feature (verified vendor only)
- You may flag reviews you believe are inaccurate or violate our Community Guidelines via the report content form
- We do not remove negative reviews on vendor request unless they violate our Community Guidelines
Intellectual Property
When you submit content (logo, screenshots, demo videos, marketing copy) for your listing, you grant Intelloro a non-exclusive, worldwide, royalty-free license to use, display, and distribute that content solely for the purpose of displaying your tool listing on Intelloro and in our marketing materials.
You represent and warrant that you have all necessary rights to grant this license. You are responsible for any third-party IP claims arising from your submission.
Intelloro respects third-party IP. If you believe a listing infringes your copyright or trademark, see our DMCA Policy.
Vendor Liability & Indemnification
You agree to indemnify and hold Intelloro harmless from any claim, loss, or damage arising from:
- Inaccurate or misleading information in your listing
- Compliance / certification claims that turn out to be false
- Third-party IP infringement in content you provide
- Your violation of consumer-protection or AI Act obligations
- Any claim by a customer who relied on your listing to make a purchase decision
Suspension & Termination
We may suspend or terminate your vendor privileges (listing claim, paid placement, vendor dashboard access) if:
- Trader identity verification fails or evidence of identity falsification is found (DSA Art. 30)
- You repeatedly post inaccurate information after correction notices
- You violate FTC Endorsement Guides, EU UCPD, or equivalent consumer-protection rules
- Your tool is found to engage in EU AI Act-prohibited practices (Art. 5)
- You attempt to manipulate scores, rankings, or reviews
In line with DSA Art. 23, we will provide a clear and specific Statement of Reasons for any suspension and an opportunity to appeal via our internal complaint-handling system.
